Which documents are used?
| Document | When it's used |

Cloverlight does not provide tax advice. Confirm your state registration obligations with your US tax adviser, and only use exemption for genuine purchases for resale.
Why does a resale certificate matter for Amazon sellers?
A resale certificate matters because US sales tax is meant to be paid once, by the final consumer. A seller who buys inventory on Amazon.com and resells it elsewhere without an exemption on file pays sales tax on every order, and that tax becomes part of the product cost. On thin dropshipping margins, a few percentage points of sales tax can decide whether an order is profitable.
How does the Amazon Tax Exemption Program (ATEP) work?
The Amazon Tax Exemption Program (ATEP) is the Amazon program that applies a buyer's tax exemption to eligible purchases automatically. According to Amazon's help page, ATEP covers items sold by Amazon and its affiliates, plus items from third-party sellers who participate in the program. Orders from non-participating sellers can still be charged sales tax.
Once an exemption is approved, it is applied at checkout without a refund request, and the checkout page shows whether each item was treated as tax-exempt.
| Enrollment method | Timing stated by Amazon |
|---|---|
| Upload an exemption document | Verification can take up to 24 hours |
| Enter tax details manually | Active within 15 minutes |
How do you add a resale certificate to your Amazon account?
- Confirm which states you buy into and which certificate each state accepts.
- Prepare the certificate with the legal company name and address exactly as they appear on the Amazon account.
- Sign and date it, and include the state tax ID and a description of the goods you buy for resale.
- Enroll in ATEP through the Amazon Tax Exemption Wizard or by uploading the document.
- Check enrollment status per state and fix any state that comes back rejected.
Which states accept which resale certificate?
When neither shared form is accepted, the state's own resale certificate is the fallback, and some states require an in-state sales tax registration before you can issue one.
| Certificate | Scope per the issuing body | Caveat |
|---|---|---|
| MTC Uniform Sales & Use Tax Resale Certificate | The Multistate Tax Commission says 36 states have indicated it can be used as a resale certificate. | The form lists state-specific requirements and limits; the MTC tells users to check with each state's revenue department. |
| SST Certificate of Exemption (F0003) | The shared exemption form of the Streamlined Sales Tax agreement, which has 22 full member states. | Not every exemption on the form is valid in every state; the purchaser is responsible for qualifying. |
Why does Amazon reject a resale certificate upload?
- The document is unsigned or undated.
- The company name or address does not match the Amazon account.
- No valid state tax ID is listed.
- The description of goods (for example, books or electronics) is missing.
- A sales tax permit or a W-9 was uploaded instead of a certificate; Amazon Business states it accepts neither.
Is a resale certificate the same as your sales tax obligation as a seller?
No. A resale certificate covers the buying side: it keeps tax off goods you purchase to resell. Your obligations on the selling side are separate. Amazon's Marketplace Tax Collection page explains that in states with marketplace facilitator laws, Amazon calculates, collects, remits and refunds sales tax on third-party sellers' transactions. Sales on other channels, such as your own website, may leave collection with you.
ATEP's terms also put the risk on the buyer: if goods bought tax-exempt are not used for the exempt purpose, you must report and pay the tax directly to the state, and Amazon may suspend a state's exemption or end participation. This is general information, not tax advice; confirm registration and filing duties with a US tax professional.
Do you need a resale certificate to dropship on Amazon?
No. Amazon does not require a resale certificate to sell or to dropship. The documents Amazon's registration guide asks for are ID, a bank account, a credit card, tax information and proof of address, and the Drop Shipping Policy requires you to be the seller of record, to show only your information on packaging and invoices, and to handle returns. A resale certificate is not on either list.
A resale certificate is a cost lever. When you buy inventory from Amazon.com or another US supplier to resell it, a valid certificate can keep sales tax off the purchase; without one, that tax becomes part of your product cost. Whether you can issue a certificate in a given state, and what registration that triggers, is a tax question for a US tax adviser.
Sales tax was charged on a supplier order. How do you get it refunded?
Where you ask depends on who fulfilled the order. Amazon's "Understand your tax exemption messages" help page says to contact Amazon Customer Service for tax refunds on orders fulfilled by Amazon, and to contact the seller through buyer-seller messaging when a third-party seller fulfilled the order.
- At checkout, look for the "Tax Exemption Applied" or "Tax Exemption Available" link, which Amazon says you can use to update the exemption.
- Check the order details to see whether Amazon or a third-party seller fulfilled it.
- Contact Amazon Customer Service or the seller as appropriate, with the order number and the tax amount charged.
- For partial exemptions, Amazon Business asks you to email [email protected] with documentation for each qualifying order.
- Review your ATEP state status. The exemption only applies automatically to items sold by Amazon, its affiliates and participating third-party sellers.
Are an EIN and Form W-8BEN the same thing as a resale certificate?
No. An EIN is a tax ID number and Forms W-8BEN and W-9 report tax status; none of them exempts a purchase from sales tax. A resale certificate is a separate document that tells the state a purchase is for resale. The table uses the IRS's own form descriptions. Which form fits your structure is a question for your accountant.
| Document | What the IRS says it is for | How it relates to a resale certificate |
|---|---|---|
| EIN | A number businesses use to manage their taxes. The IRS says you never have to pay for one. | Many state forms ask for it, but it grants no exemption by itself. |
| Form W-8BEN | Given by a foreign individual to the withholding agent or payer. | Documents US tax status, not a sales-tax exemption. |
| Form W-8BEN-E | Used by foreign entities to document their US tax status. | Amazon's tax interview may ask for it; it is not an exemption certificate. |
| Form W-9 | Gives your correct TIN to a person who must file an information return. | Amazon Business does not accept a W-9 as an ATEP exemption document. |
Is a resale certificate the same as a letter of authorization?
No. A resale certificate is a US sales tax exemption document: it lets you buy items for resale without paying sales tax. A letter of authorization (LOA) is a statement from a brand owner or authorized distributor that you may sell their products, and Amazon may ask for one during brand approval. Sellers mix them up often, but one never replaces the other.
| Resale certificate | Letter of authorization (LOA) | |
|---|---|---|
| Issued by | The buying business, on a form or permit the state accepts | The brand owner or authorized distributor |
| Purpose | Sales tax exemption on purchases for resale | Documents your right to sell a restricted brand |
| Where it goes on Amazon | Amazon Tax Exemption Program (ATEP) | The brand approval application |
| Tax related | Yes | No |
| Gets you ungated | No | Not on its own; Amazon usually asks for invoices too |
Where do you find your Amazon seller ID (Merchant Token)?
Your seller ID, called the Merchant Token, is listed in Seller Central under Settings > Account Info, in the Business Information section. The code after 'seller=' in your storefront URL is the same ID. Suppliers and service providers may ask for it to identify your account. It does not grant access on its own, but never share your password or verification codes.
How much does resale certificate setup cost?
Resale certificate setup costs $150. The final price depends on the case, since the number of states and accounts sets the scope. We confirm it in writing after seeing your company structure and the states you buy from. Confirm tax obligations with an accountant.
| Factor | Why it matters |
|---|---|
| Number of states | Each state accepts different forms and rules |
| Company structure | A US LLC, a foreign company and an individual need different document sets |
| Existing permits | States that require a sales tax permit first add a step |
| Number of accounts | ATEP enrollment is done per Amazon account |
| Rejection history | Rejected uploads need documents fixed to the stated reason |
