> contract

Every engagement runs on a written contract

We don't work on handshake deals. Both sides sign a contract that sets out who does what, how money moves and what happens if something goes wrong, before any work starts.

Scope and responsibility

Which tasks are ours, which are yours, and from which date each side is responsible are written down clause by clause.

Same rules for both sides

Payment deadlines and late-payment penalties apply equally to both parties.

Confidentiality

Commercial and financial information shared under the contract is kept confidential.

Term and termination

The term, renewal and termination conditions are stated explicitly.

SERVICE 01

Amazon Account Management

The problem
Running more than one store gets hard to keep track of without dedicated research, reporting, and oversight.
What we do
We manage your accounts using our own tools — Invoice App for approvals, ASIN Orchestrator for research, orders, and partner accounting, plus our internal CRM and reporting.
What we need from you
Store access, your catalog, and target markets.
What you get
Ongoing account management and regular performance reports.
Good to know
We target a minimum 50% gross margin in research instead of the usual 10–20% — that's a filter we use to find products, not a promised outcome. Fees, returns, shipping, customs, exchange rates, and market prices all affect what you actually make.
SERVICE 02

Amazon Account Health & Appeals

The problem
An IP complaint, authenticity flag, or safety issue can put your account at risk.
What we do
We review the evidence, prepare your response, and track the case until it's resolved.
What we need from you
The notice from Amazon, any supporting evidence, and account access if needed.
What you get
A complete evidence package and appeal, tracked from start to finish.
Good to know
Amazon makes the final call on every case — we can't guarantee a violation gets removed.
SERVICE 03

Custom Software Development

The problem
Spreadsheets stop working once your operation gets complex enough.
What we do
We design and build the automation, CRM, reporting, or ops tool you actually need.
What we need from you
What your process looks like today and what you need the system to do.
What you get
Software built specifically around your requirements.
Good to know
Scope, timeline, and cost depend on what we scope together.

On marketplace rules

Everything we manage follows Amazon's rules — seller-of-record responsibilities, packaging, documentation, and returns included. We won't work around marketplace policy or use false evidence, for any client.

IMPORTANT

Important Information and Service Limitations

This section applies in particular to Amazon Account Management. It doesn't replace your signed agreement with Cloverlight — where the two differ, your signed agreement controls.

Relationship with Amazon

Cloverlight LLC is an independent software and Amazon account-management provider. It is not part of Amazon.com, Inc. or its affiliates, and does not claim to be authorized, endorsed, or sponsored by Amazon. Amazon and related product, service, and brand names are trademarks of their respective owners.

Scope of service

Cloverlight performs the tasks set out in your proposal, service agreement, or statement of work. Depending on what's agreed, this can include product research, monitoring orders and fulfillment, inventory updates, catalog work, handling customer messages, operational reporting, and account-health monitoring.

Anything outside that agreed scope isn't Cloverlight's responsibility unless we've separately agreed to it in writing. You remain the owner of your Amazon account and the seller of record. How responsibility is divided between you and Cloverlight — for account use, the products you sell, and your legal obligations — is set out in your signed agreement.

Profit-share model and financial terms

Account management and dropshipping account operations have no fixed fee: Cloverlight takes a share of net profit, calculated every 45 days. No share is due for a period that ends in a loss. The rate, how net profit is calculated, which costs count against it, and how refunds, cancellations, chargebacks, currency differences and taxes are handled are set out in your specific proposal or agreement.

A profit-share fee arrangement doesn't by itself create a partnership, joint venture, employment relationship, or agency relationship. The legal relationship between us is whatever your signed agreement says it is.

Profitability and performance

We manage for margin and efficient use of capital, not just sales volume. Product research uses the information available to us at the time — product cost, Amazon fees, shipping, customs, returns, exchange rates, competition, and market prices.

Every number we produce is an estimate based on that information at that moment. Market conditions, Amazon fees, competitor pricing, Buy Box status, exchange rates, sourcing costs, and return rates can all change without notice.

Cloverlight does not guarantee any specific sales volume, revenue, profit, margin, return on investment, Buy Box outcome, or store performance. Past results, sample numbers, target margins, and demo data are not a promise of what happens next.

Amazon policies and account decisions

Amazon can change its policies, review procedures, document requirements, category or brand restrictions, and account-health practices at any time. We do our best to work within current, publicly available rules, but we can't predict or control what Amazon decides to change.

Listing removals, payment holds, reviews, warnings, violations, selling restrictions, and account deactivations are all decided by Amazon. Cloverlight doesn't make these decisions and doesn't act on Amazon's behalf.

Warnings, appeals, and account deactivations

If an account we manage gets a warning, violation, listing removal, or deactivation, we take the operational steps available to us under your agreement, based on the information and documents you give us.

That can include reviewing the notice, checking the relevant records, assessing available documents, helping prepare an initial response or appeal, and following up through Seller Central.

We can't guarantee Amazon will remove a violation, reinstate a listing, release a withheld payment, or reactivate an account — outcomes and timelines are entirely up to Amazon. If the first round doesn't resolve it, or the matter needs legal, IP, tax, product-safety, or other specialist expertise, we may suggest you bring in an independent lawyer or other qualified professional.

External service providers

Any outside expert or provider you choose, or that we recommend, is an independent third party. Unless we've agreed otherwise in writing, Cloverlight:

  • Is not a party to that provider's services.
  • Doesn't guarantee the scope, timing, cost, or outcome of their work.
  • Isn't responsible for what that provider does or fails to do.
  • Doesn't cover their fees on your behalf.

Recommending someone isn't a guarantee of their work, and doesn't make us their legal representative.

Your information and documents

You're responsible for making sure the business, product, supplier, invoice, order, brand, tax, and account information you give us is accurate, current, genuine, and something we can verify.

We won't use false, altered, misleading, or unverifiable documents in any case we handle, and we can decline to work with documents we have real doubts about.

If something goes wrong because information was incomplete, late, inaccurate, or misleading — or because of your instructions, unauthorized sales, non-compliant products, or a breach of your agreement or Amazon's policies — how that's handled is governed by your agreement.

Third-party systems and operational risk

Amazon, payment providers, suppliers, carriers, warehouses, and integration providers are all outside Cloverlight's direct control.

Outages, API changes, data delays, sourcing problems, inventory mismatches, shipping delays, lost shipments, customs holdups, payment holds, or something a third party does or fails to do can all affect the results we deliver.

We can't guarantee we can prevent the consequences of something outside our control. When that happens, we'll do the reasonable monitoring and follow-up included in your agreed scope.

Not legal, tax, or financial advice

Our account management, software, analysis, document work, and operational support are not legal, tax, investment, or independent financial advice.

You should get advice from your own qualified professionals on company structure, taxes, product regulation, consumer rights, intellectual property, import/export rules, and any other legal obligations that apply where you operate.

Limitations of liability

Exclusions of liability, categories of damages, any monetary cap, indemnification, and claim periods belong in your signed service agreement or valid Terms of Service — they're defined there, not on this page.

This page won't state an arbitrary monetary cap, an absolute "not liable under any circumstances" disclaimer, or an indemnity obligation that isn't in your agreement.

Relationship with your service agreement

This page is general information — it doesn't replace a signed proposal, service agreement, addendum, or statement of work. If something here conflicts with your signed agreement, the signed agreement controls, subject to applicable law.

This text shouldn't be treated as final, binding, or legally reviewed until qualified legal counsel has looked at it for the relevant governing law and the countries our clients operate in.
